Leverage Terms of Service

Last updated: November 2, 2026 Effective: November 2, 2026

These Terms of Service ("Terms") are a legal agreement between you and Game Leverage, Inc., a Delaware corporation ("Leverage," "we," "us," or "our"). They govern your use of gameleverage.com, the Leverage mobile apps, and all related websites, apps, software, features, content, and services (together, the "Services").

PLEASE READ THESE TERMS CAREFULLY.

1. Accepting These Terms

1.1 How you accept. You accept these Terms when you create an account, sign in (including with Apple, Google, or another sign-in provider), check a box or click a button agreeing to them, or otherwise use the Services. If you do not agree, do not use the Services.

1.2 Parents and guardians. If you are a parent or legal guardian ("Parent") and you create, approve, or manage a Player profile for someone under 18 ("Minor"), you accept these Terms for yourself and on behalf of that Minor. Minors may not use a Leverage account, including yours.

1.3 Organizations. If you use the Services for a league, club, team, school, camp, association, or other entity (an "Organization"), you confirm that you are authorized to bind that Organization, and "you" includes the Organization. Organizations may also be asked to accept additional Organization terms. If any such terms conflict with these Terms on a matter specific to Organizations, those Organization terms control.

1.4 Other policies. These Terms include, by reference, our Privacy Policy (including its Children's Privacy section), any community guidelines we post, and any terms we show you for a specific feature (together, the "Policies").

2. Definitions

3. Eligibility, Accounts, and Player Profiles

3.1 Accounts are for adults only. You must be at least 18 years old, or the age of majority where you live if that is higher (for example, 19 in Alabama and Nebraska, and 21 in Mississippi), to create or use a Leverage account. No one under 18 may create or use an account. Players under 18 exist on Leverage only as Player profiles created and managed by a Parent or an authorized Organization. We ask for age at sign-up and do not permit accounts for anyone under 18. If we learn that an account belongs to someone under 18, we will close it and delete related data as required by law.

3.2 Player profiles for Minors. A Minor can appear on Leverage only as a Player profile managed by one of the following:

(a) a Parent who has linked their own account to the Minor's profile; or

(b) the Minor's Organization, under Section 3.4.

Minors do not have accounts and cannot log in, post, comment, or send or receive messages. A Minor's information may be entered only by the Minor's Parent or an authorized Organization. Minors must not submit information to Leverage themselves. Player profiles are private by default. A Player profile can be made public only after the Minor's Parent gives consent through their own account, and we record that consent and the version of the terms the Parent agreed to.

3.3 Possible future features for Minors. We may in the future offer limited player profiles or views for Minors. If we do, we will update these Terms and our Privacy Policy, and get any required parental consent, before launch.

3.4 Information Organizations provide about Minors. When an Organization adds a Minor's information to a roster, registration, evaluation, or other record, the Organization confirms that:

(a) it has the permission of the Minor's Parent, or other legal authority (for example, a school acting in an educational context with the authority the law allows), to provide that information to Leverage and to use it through the Services;

(b) it will provide only the information reasonably needed for the Organization's youth-sports purposes; and

(c) it will honor a Parent's requests to review, correct, restrict, or delete the Minor's information, and will cooperate with us when we receive those requests.

A Parent may link their account to the Minor's Player profile and control it at any time.

3.5 No account sharing; account security. Your account and login credentials are personal to you. Keep them confidential, and do not share your account or let anyone else use it, including a Minor. You are responsible for all activity under your account. We may suspend or close accounts that are shared. Tell us right away at privacy@gameleverage.com if you think someone has accessed your account without permission.

3.6 Accurate information. Give accurate, current information, including your relationship to any Minor. Falsely claiming to be a Minor's Parent or guardian is a serious violation, and we may report it to law enforcement.

3.7 Who may not use the Services. You may not use the Services if any of the following applies to you:

4. Organizations, Org Admins, and Coaches

4.1 Organizations run their programs. Organizations, not Leverage, decide:

4.2 Organization responsibilities. Each Organization, and every Org Admin and Coach acting for it, agrees to do the following:

(a) Follow all applicable laws and governing-body rules, including those on child protection, background checks, mandatory reporting, consumer protection, payments, taxes, privacy, and anti-discrimination.

(b) Screen every Coach and adult volunteer who will have access to Minors, including criminal background checks and abuse-prevention training (such as SafeSport or equivalent), as often as the law and governing-body rules require.

(c) Give Coach and Org Admin access only to screened adults, and remove access promptly when someone leaves or is suspended.

(d) Use Minors' information only for the Organization's legitimate youth-sports purposes, as described to Parents and allowed by our Privacy Policy.

(e) Upload photos or Film of Minors only as Section 7 allows.

(f) Promptly honor Parent requests we pass along, and cooperate with us on safety reports, data requests, and legal process.

(g) Carry insurance appropriate for its activities.

(h) Take responsibility for any sensitive information it chooses to collect through custom registration questions, forms, evaluations, or notes. That includes health, injury, medical, disability, or background-check information. The Organization must collect only what it needs, have a lawful basis and any required consent, and limit who can see it.

(i) Have the consent the law requires for every contact it uploads, imports, or emails through the Services, and comply with anti-spam laws (see Section 14).

4.3 No employment or agency. Coaches and Org Admins are not Leverage employees, agents, or contractors. Leverage does not supervise them and does not verify their qualifications or background unless we expressly say we do for a specific feature.

5. Youth Safety and Abuse Reporting

5.1 Zero tolerance. Leverage has zero tolerance for:

We may remove content, suspend or close accounts, preserve evidence, and notify law enforcement and the proper authorities, all without notice.

5.2 No messaging with Minors. The Services offer team, league, and direct messages between adult account holders only. Leverage does not provide messaging between adults and Minors. Minors do not have accounts and cannot send or receive messages. You may not use the Services to contact a Minor, or to arrange contact with a Minor, on or off the Services. Report any attempt to privacy@gameleverage.com. You can block other users, and you can report messages, comments, and accounts. These rules add to an Organization's own safeguarding policies. They do not replace them.

5.3 How to report. To report a safety concern, email privacy@gameleverage.com, or use in-app reporting tools where available (for example, on live-stream comments).

5.4 What we do with reports. We review reports and give the most serious ones priority. When the law requires it, including 18 U.S.C. § 2258A, we report apparent child sexual abuse material to NCMEC and preserve related information. We may also notify the Organization involved, Parents, and law enforcement, and we cooperate with valid legal process.

5.5 Reporting duties stay in place. Using the Services does not replace any person's or Organization's legal duty to report suspected child abuse to law enforcement or child-protective authorities.

5.6 No guarantee. We use safeguards, but we cannot monitor all activity or guarantee that every user is who they say they are or will behave appropriately. Parents and Organizations remain responsible for supervising Minors, both at sports activities and online.

6. Acceptable Use

You agree not to do any of the following, or help or allow anyone else to do them:

(a) break any law or violate anyone's rights, including their privacy, publicity, or intellectual property rights;

(b) upload, share, or request sexual content of any kind, and especially any sexual content involving a Minor;

(c) harass, bully, threaten, intimidate, demean, dox, or discriminate against anyone, including players, families, coaches, referees, and officials;

(d) record, upload, or stream anyone in a locker room, restroom, changing area, medical setting, or any other place where people expect privacy;

(e) collect or scrape personal information about other users, especially Minors;

(f) impersonate anyone, or misrepresent your relationship with a Minor or an Organization;

(g) use the Services to contact a Minor, or to arrange contact with a Minor, or try to get a Minor's personal contact information;

(h) post content that promotes violence, self-harm, illegal drugs, weapons, or other material harmful to Minors;

(i) use the Services, or any Film or data from them, for gambling or sports betting, data brokering, or commercial resale;

(j) upload malware, probe or breach security, get around access controls or rate limits, reverse engineer the Services (except where the law allows), or interfere with the Services;

(k) use AI Features or any other tool to create sexualized, deceptive, defamatory, or manipulated images, video, or audio of real people (including "deepfakes"), especially of Minors;

(l) send spam or unsolicited commercial messages; or

(m) resell or sublicense the Services without our written permission.

We may investigate violations and act on them, including by removing content and suspending or closing accounts.

7. Your Content, Film, and Likeness

7.1 You own your content. You keep whatever ownership rights you have in your User Content.

7.2 The license you give us. You give Leverage a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, format, transcode, and distribute your User Content. This license is limited in three ways:

7.3 Our commitments about Minors. Unless a Parent gives separate, specific opt-in consent:

(a) we do not use any Minor's name, image, likeness, voice, or Film in advertising or marketing;

(b) we do not sell, license, or monetize content showing Minors, and we do not place third-party ads in or around it; and

(c) we do not give Minors' personal information or Film to third parties to train their artificial intelligence models.

7.4 When the license ends. The license ends when you delete the User Content or your account. These exceptions apply:

7.5 Film is private by default. When you upload Film, only you can see it at first. You may share it view-only with specific users, teams, or Organizations. You can revoke a share at any time, and you can set it to expire. Film is kept for 30 days after upload unless you choose a longer retention period. You can also delete it at any time.

7.6 Footage of Minors. Upload or share photos or Film in which a Minor can be identified only if you are the Minor's Parent or are acting for the Minor's Organization, team, or event. Share it only with that Minor's team, Organization, or family. Any of the following requires a separate release from the Minor's Parent, recorded in the Services:

A Parent can change these choices at any time. Changes apply going forward.

7.7 Respecting Parents' choices. We may restrict, remove, or limit footage to respect a Parent's choices or to protect a Minor.

7.8 Takedown requests. A Parent can ask us to remove or restrict any photo or Film in which their Minor can be identified. So can a former Minor who is now an adult. Email privacy@gameleverage.com. Once we have verified the request:

We may keep content longer only where the law or a safety investigation requires it. Organizations must honor these requests for copies they control.

7.9 Livestreams. Livestreams and their recordings use private, signed playback by default. Private streams can be watched only by invited viewers who have verified their email address. Stream hosts may block viewers and may hide comments, and anyone can report live comments. Do not make a livestream that shows identifiable Minors public unless their Parents have given the release described in Section 7.6. We may end any stream that breaks these Terms.

7.10 Recording laws and venue rules. You are responsible for following venue policies, league rules, and laws about recording, including laws that may require consent before you record audio of a conversation.

7.11 No re-sharing. Do not download, re-post, or redistribute footage of other people's children outside the Services, or beyond the audience it was shared with, without the Parent's permission.

7.12 Player identification and tagging. Leverage uses video analysis to detect game events, create clips, and suggest which rostered Player appears in a clip, for example by using jersey numbers and roster data. A suggestion becomes a tag only after an authorized team member confirms it. A tag links the Player's name, display name, jersey number, and team role to the footage.

We do not sell or share Player video or identity tags, and we do not use them to build face templates or biometric identifiers for any purpose other than tagging your own team's Film.

Tag opt-out and removal by request. A Player's Parent or guardian, or the Player's Organization, can email privacy@gameleverage.com to ask us to (a) remove the Player's existing identity tags and (b) not tag the Player in future Film. We will verify the request and act on it within 30 days. After that, tags for that Player will not be confirmed, and existing tags will be removed from Film and reports where technically feasible. Residual copies in backups are deleted on our normal backup cycle.

Before we use any feature that creates biometric identifiers or biometric information, as those terms are defined in laws such as the Illinois Biometric Information Privacy Act (740 ILCS 14), Texas Business and Commerce Code § 503.001, and Washington's biometric identifier law (RCW 19.375), we will:

7.13 Your promises. You confirm that:

7.14 Moderation. We may review, restrict, label, or remove User Content, and we may use automated tools to help, but we do not have to. We are not responsible for User Content posted by others.

7.15 Feedback. If you send us ideas or feedback, we may use them without owing you anything.

7.16 Our content. Apart from User Content, the Services and all platform content, including software, design, text, graphics, logos, and trademarks, are owned by Game Leverage, Inc. or its licensors and are protected by intellectual property laws. We give you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose under these Terms. We reserve all rights not expressly granted.

8. Copyright and DMCA

8.1 How we handle copyright. We respect intellectual property rights. We respond to notices of claimed infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512.

8.2 Sending a notice. Send our Designated Agent a written notice that includes:

(a) a physical or electronic signature of a person authorized to act for the copyright owner;

(b) identification of the copyrighted work;

(c) identification of the material you claim infringes it, with enough information for us to find it (for example, a URL);

(d) your contact information;

(e) a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law; and

(f) a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act for the copyright owner.

8.3 Designated Agent. Copyright Agent, Game Leverage, Inc., 169 Madison Ave STE 69154, New York, NY 10016 Email: privacy@gameleverage.com

8.4 Counter-notices. If you believe your content was removed by mistake or misidentification, you may send a counter-notice that meets 17 U.S.C. § 512(g)(3). We may restore the content in 10 to 14 business days unless the person who complained tells us they have filed a court action.

8.5 Repeat infringers. In appropriate circumstances, we close the accounts of repeat infringers.

8.6 Privacy and likeness complaints are handled under Section 7.8 and our Privacy Policy, not through this process.

9. AI Features

9.1 What AI Features do. Leverage uses artificial intelligence services, including from OpenAI and xAI, to power features such as:

We also use our own video-analysis software to detect game events, create clips, and suggest Player tags for confirmation (see Section 7.12). AI Features are available only to adult account holders.

9.2 AI output is informational and can be wrong. AI output may be inaccurate, incomplete, or inappropriate. It is not:

Do not use it as the only basis for a decision about a Player's safety, health, playing time, selection, discipline, or eligibility. A person is always responsible for those decisions. Review AI-generated content, such as recaps and website text, before you publish or share it.

9.3 Your inputs. Upload rosters, contact files, Film, or other content to AI Features only if you have the right to do so. That includes any consent needed from the people in it. Do not submit health or other sensitive information unless it is necessary.

9.4 No AI training on your data. Our AI providers are contractually prohibited from using customer data, including Minors' personal information and Film, to train or improve their models. We do not use Minors' personal information or Film to train or fine-tune AI models ourselves.

9.5 Labels. We label AI-generated content in the Services.

10. Payments

10.1 Payments to organizers. Organizations, tournament hosts, and other organizers ("Organizers") can use the Services to collect payments. These include registration, team, and family fees; installment plans; tournament fees; and day or weekend passes ("Organizer Charges"). Stripe, Inc. and its affiliates ("Stripe") process these payments. For Organizer Charges:

(a) The Organizer runs the program. The Organizer runs and is responsible for its program, pricing, discount codes, taxes, refund policy, and customer service. Leverage provides the software platform and is not the organizer of the program.

(b) Installments. If you choose an installment plan, you authorize the scheduled charges shown at checkout. If a payment fails, the Organizer may limit participation under its own policies.

(c) Gate entry. Organizers may sell entry at the gate by card through the Services. Cash payments are made directly to the Organizer and are outside the Services.

(d) Payouts. Organizers, referees, officials, and others who receive payouts through Stripe Connect must accept Stripe's Connected Account Agreement and provide accurate information for identity verification. Leverage may deduct a platform fee from payouts, as disclosed in the Services. We may share information with Stripe so payments and payouts can work. Referees and officials are independent of Leverage. Leverage does not employ, schedule, or supervise them.

(e) Fees. Any Leverage fees charged to payers are shown before you pay.

(f) Disputes and chargebacks. Organizers are responsible for chargebacks, refunds, and reversals on their Organizer Charges, and for the fees that come with them. Leverage may offset amounts an Organizer owes.

(g) Prohibited uses. You may not use payment features for illegal activity, gambling, or any purpose Stripe's terms prohibit.

(h) Donations. Leverage does not represent that any payment or donation is tax-deductible.

10.2 Leverage purchases. Leverage sells its own subscriptions and paid features, including:

Leverage, or Apple or Google for in-app purchases, is the seller of these.

10.3 Film analysis minutes. Film analysis minutes are consumed as you use film-analysis features. Unless the offer says otherwise, unused minutes expire at the end of the billing period they belong to and cannot be redeemed for cash.

10.4 Prices and taxes. Prices are in U.S. dollars and do not include applicable taxes unless we say they do.

10.5 Authorization. When you give us a payment method, you authorize the seller (and Stripe or the app store acting for the seller) to charge it the amounts you approve. That includes recurring and installment charges you expressly agreed to.

10.6 Minors. A Parent or other adult must make any purchase for a Minor.

11. Subscriptions, Automatic Renewal, and Cancellation

11.1 Automatic renewal. IF YOU BUY A LEVERAGE SUBSCRIPTION, IT RENEWS AUTOMATICALLY AT THE END OF EACH TERM (MONTHLY OR ANNUAL, AS SHOWN WHEN YOU BUY). WE WILL CHARGE YOUR PAYMENT METHOD THE THEN-CURRENT PRICE, PLUS ANY TAX, UNTIL YOU CANCEL.

Before you buy, we clearly show you:

We ask for your affirmative consent before charging you.

11.2 Free trials and promotional prices. If an offer includes a free trial or a temporary price, we explain when the price changes and what you will be charged afterward. Unless you cancel before the trial ends, you will be charged when it ends. We send these reminders:

11.3 Confirmation. After you subscribe, we email you a confirmation you can keep. It lists the renewal terms, the price, how often you will be charged, the cancellation deadline, and how to cancel.

11.4 How to cancel. You can cancel at any time in any of these ways:

If we show you an offer while you are cancelling, you can still finish cancelling right away. Your cancellation takes effect at the end of the current paid term, and you keep access until then.

11.5 Price increases. We will tell you at least 30 days before any price increase to your subscription. We will not charge the higher price unless you affirmatively agree to it. If you don't agree, your subscription ends at the end of the current term.

11.6 Other changes. We will tell you about material changes to renewal terms before they take effect.

11.7 Your rights under law. If the law where you live gives you more rights, including under California's Automatic Renewal Law, New York General Business Law § 527-a, Connecticut law, or the federal Restore Online Shoppers' Confidence Act, those rights apply.

12. App Store Purchases and Apple Terms

12.1 App-store rules apply. If you buy through the Apple App Store or Google Play, that store's terms, billing, renewal, cancellation, and refund policies apply. Refund requests generally must go to the store. We cannot cancel or refund app-store subscriptions for you.

12.2 Apple. If you use our iOS app:

(a) these Terms are between you and Leverage, not Apple, and Leverage (not Apple) is responsible for the app and its content;

(b) Apple has no obligation to provide maintenance or support for the app;

(c) if the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation;

(d) Leverage, not Apple, is responsible for claims about the app, including product liability, legal or regulatory compliance, consumer protection, privacy, and intellectual property infringement claims;

(e) you confirm that you are not in a country under a U.S. embargo and are not on a U.S. government list of restricted parties; and

(f) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12.3 Google. Your use of our Android app is also subject to the Google Play Terms of Service. Leverage, not Google, is responsible for the app.

13. Refunds

13.1 Organizer Charges. Each program's own refund policy, set by its Organizer, controls refunds for registrations, fees, tournament entries, passes, and other Organizer Charges. The Organizer must show you that policy before you pay. Leverage is the platform, not the Organizer. We may help pass along refund requests, but the Organizer decides them.

13.2 Leverage purchases. Leverage subscription fees are not refundable for partial terms, except in these cases:

(a) if you cancel within 7 days after an annual subscription charge (first purchase or renewal), we refund that charge;

(b) we refund charges made in error; and

(c) we give refunds where the law requires them.

13.3 If we end a subscription. If we end your subscription for a reason other than your breach of these Terms, we refund the unused prepaid portion.

14. Communications, Including Text Messages

14.1 Service messages. We send account, security, transaction, safety, and legal notices electronically, and you agree to receive them that way. These notices satisfy any legal requirement that a communication be in writing.

14.2 Leverage marketing email. Every marketing email we send includes an unsubscribe link, and we honor unsubscribe requests promptly. We do not direct marketing to Minors, and we do not use Minors' information for advertising.

14.3 Emails from Organizations. Organizations can send emails through the Services to their program contacts. The Organization is the sender and is responsible for those emails. For every contact it uploads or imports, the Organization must:

We keep an unsubscribe list and may block messages to anyone who has opted out.

14.4 Text messages. We do not currently send text messages. If we offer them in the future:

15. Sports Activities: Our Role, Assumption of Risk, and Release

15.1 Leverage does not run sports activities. Leverage provides software. Leverage does not organize, operate, sponsor, supervise, staff, insure, or control any of the following that are scheduled, promoted, or paid for through the Services (together, "Activities"):

Organizations and their personnel are solely responsible for Activities. Leverage does not inspect facilities, fields, or equipment, and does not assess weather conditions or anyone's medical readiness.

15.2 Assumption of risk. Taking part in or attending sports Activities carries inherent risks. These include serious injury, concussion, paralysis, illness, heat illness, cardiac events, and death. Risks can also come from other participants, coaches, spectators, travel, equipment, facilities, and weather. To the fullest extent the law allows, you knowingly and voluntarily accept all of these risks for yourself. If you are a Parent, you also accept them on behalf of your Minor, to the extent the law allows.

15.3 Release. To the fullest extent the law allows, you release Leverage and its officers, directors, employees, contractors, and agents from claims arising out of or related to Activities. That includes claims about the acts or omissions of Organizations, Coaches, officials, other participants, and facility operators. If you are a Parent, you also give this release on behalf of your Minor, your heirs, and your assigns, to the extent the law allows. This release does not cover claims arising from Leverage's own gross negligence, willful misconduct, or fraud, or any claim that cannot legally be released.

15.4 Waivers and forms. Organizers may ask participants to sign liability waivers, releases, and other forms in the Services. Each of these is an agreement between the participant (or Parent) and the Organizer. Leverage only hosts the form and is not a party to it. The Organizer is responsible for the form's content and for whether it can be enforced. When you sign electronically, we record your signed name, the date and time, your IP address, browser information, and the consent text you agreed to, as evidence of the signature.

15.5 No medical advice. Nothing in the Services, including AI output, stats, and training content, is medical advice. Follow your physician's guidance and your state's concussion and return-to-play rules.

16. Third-Party Services

The Services may connect to or link to services run by others, such as payment processors, app stores, sign-in providers, video, messaging, and AI providers. Your use of those services is governed by their own terms and privacy policies. Leverage is not responsible for them.

17. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. It also explains the rights Parents have over their Minors' information.

18. Disclaimers

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICES, AI OUTPUT, FILM ANALYSIS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THIS INCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

LEVERAGE DOES NOT WARRANT THAT:

SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

19. Limitation of Liability

19.1 Types of damages excluded. TO THE FULLEST EXTENT THE LAW ALLOWS, LEVERAGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS ARE NOT LIABLE FOR ANY OF THE FOLLOWING ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THEY WERE POSSIBLE:

19.2 Cap on total liability. TO THE FULLEST EXTENT THE LAW ALLOWS, LEVERAGE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF:

(A) THE AMOUNT YOU PAID LEVERAGE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, NOT COUNTING ORGANIZER CHARGES PAID TO ORGANIZERS; OR

(B) US $100.

19.3 Exceptions. These limits do not apply to liability that cannot be limited by law, or to Leverage's gross negligence, willful misconduct, or fraud.

19.4 Basis of the bargain. These limits are an essential part of the agreement between you and Leverage. They apply even if a limited remedy fails of its essential purpose.

20. Indemnity

20.1 By you. To the fullest extent the law allows, you will defend, indemnify, and hold harmless Leverage and its affiliates, officers, directors, employees, and agents from third-party claims, losses, damages, fines, and costs (including reasonable attorneys' fees) arising out of:

20.2 By Organizations. Each Organization will defend, indemnify, and hold harmless Leverage from third-party claims arising out of:

(a) its Activities, waivers, and forms, and any sensitive information it collects;

(b) the acts or omissions of its Org Admins, Coaches, volunteers, and contractors, including any failure to screen, supervise, or report;

(c) its Organizer Charges, refunds, and taxes;

(d) its use of personal information in ways these Terms do not allow; and

(e) its violation of the law.

20.3 Process. We will notify you promptly of any claim. We may participate with our own counsel. You may not settle a claim in a way that imposes obligations on Leverage or admits fault for it without our consent.

21. Dispute Resolution: Individual Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

21.1 Try to resolve it informally first. Before starting arbitration or a small-claims case, the person with the claim must send the other side a written Notice of Dispute. It must include the claimant's name, the account email, a description of the dispute, and the relief requested, and the claimant must sign it personally. Send notices to Leverage by email to privacy@gameleverage.com and by mail to Game Leverage, Inc., Attn: Legal, 169 Madison Ave STE 69154, New York, NY 10016.

The parties will then try in good faith to resolve the dispute for 60 days. If either party asks, this includes an individual call or video conference that the claimant attends personally (the claimant's lawyer may also attend). Deadlines for bringing claims are paused during this period. Completing this process is required before starting arbitration.

21.2 Agreement to arbitrate. Except as Sections 21.3 and 21.4 provide, you and Leverage agree to resolve any dispute arising out of or relating to these Terms or the Services by final, binding, individual arbitration. The Federal Arbitration Act (9 U.S.C. § 1 and following) governs this Section.

21.3 Small claims. Either party may instead bring an individual claim in small-claims court in the county where you live, if the claim qualifies and stays there on an individual basis.

21.4 Claims that may go to court. Either party may bring the following in court:

(a) claims to stop the infringement or misuse of intellectual property;

(b) requests for emergency injunctive relief to protect a Minor's safety, while an arbitration is pending; and

(c) claims by a Minor, or by a Parent on a Minor's behalf, arising from personal injury, sexual abuse, sexual harassment, or sexual assault. For these claims, the claimant may choose court or arbitration.

Nothing in these Terms limits anyone's right to report to, or cooperate with, law enforcement, child-protective authorities, the U.S. Center for SafeSport, NCMEC, or any government agency.

21.5 Provider, rules, and arbitrator. The American Arbitration Association ("AAA") administers the arbitration under its Consumer Arbitration Rules (and, where they apply, its Mass Arbitration Supplementary Rules), as changed by this Section. Those rules are available at adr.org.

21.6 Fees. For claims you bring as a consumer, Leverage pays all filing, administrative, and arbitrator fees above what you would pay to file a lawsuit in court. The exception is if the arbitrator finds your claim frivolous or brought for an improper purpose. Each party pays its own attorneys' fees, unless the arbitrator awards them under applicable law.

21.7 Class action waiver. YOU AND LEVERAGE MAY BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS. NEITHER OF US MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only to the individual claimant, and only as needed for that claimant's individual claim.

If this waiver is found unenforceable as to any claim, that claim (and only that claim) will be separated and decided in court after the individual arbitrations are finished. The rest of this Section stays in effect.

21.8 Mass arbitration. A "Mass Filing" occurs when 25 or more similar arbitration demands are filed against the same party within 180 days by the same lawyers or by lawyers acting together. In a Mass Filing:

(a) the lawyers involved and Leverage will meet and confer in good faith to try to resolve the claims;

(b) the demands will proceed in batches of up to 100, with one arbitrator per batch where the rules allow;

(c) the next batch starts when the earlier batch is resolved or 120 days after it started, whichever is sooner;

(d) no fees are owed on a demand until its batch begins, and deadlines for claims waiting in a later batch are paused; and

(e) a court may decide disputes about whether this Section 21.8 applies, and may enforce it.

21.9 Your 30-day right to opt out. You can opt out of this arbitration agreement by emailing privacy@gameleverage.com, or writing to us at 169 Madison Ave STE 69154, New York, NY 10016, within 30 days after you first accept these Terms. Include your name, your account email, and a clear statement that you are opting out of arbitration. A Parent may opt out for a Minor. Opting out does not affect any other part of these Terms.

21.10 Jury trial waiver. IF A CLAIM GOES TO COURT INSTEAD OF ARBITRATION, YOU AND LEVERAGE EACH WAIVE THE RIGHT TO A JURY TRIAL, TO THE EXTENT THE LAW ALLOWS.

21.11 Parents and Minors. A Parent who accepts these Terms for a Minor agrees to this Section for the Parent and on the Minor's behalf, to the extent the law allows.

21.12 Changes to this Section. Changes to this Section do not apply to any claim that was filed or noticed before the change. You may reject a material change by notifying us within 30 days after we announce it. If you do, the version you last agreed to continues to apply.

21.13 Survival. This Section continues to apply after these Terms or your account end.

22. Governing Law and Venue

These Terms are governed by the Federal Arbitration Act and, apart from that, by the laws of the State of New York, without regard to its conflict-of-law rules. This choice does not take away the protection of mandatory consumer laws in the state where you live.

Subject to Section 21, any court action must be brought in the state or federal courts located in New York County, New York, and you and Leverage consent to those courts' jurisdiction. Small-claims cases may be brought where Section 21.3 allows.

23. Suspension and Termination

23.1 By you. You may stop using the Services and delete your account at any time, in your account settings or by contacting us. A Parent may delete a Minor's profile and data at any time.

23.2 By us. We may suspend or end your access, remove content, or disable features, with or without notice, if we reasonably believe that:

(a) you broke these Terms or the Policies;

(b) someone's safety, especially a Minor's, is at risk;

(c) the law requires it; or

(d) continuing to provide the Services is no longer commercially practical.

Where appropriate and lawful, we will tell you why and give you a chance to appeal by emailing privacy@gameleverage.com.

23.3 What happens next. When your access ends, your right to use the Services ends too. Sections that by their nature should continue will continue, including Sections 7.3, 7.14 to 7.16, 8, 15, and 18 through 25.

24. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will tell you at least 30 days before it takes effect, for example by email or in-app notice, and we will ask for your consent where the law requires it. Changes do not apply retroactively. If you do not agree to a change, stop using the Services, and cancel any subscription, before the change takes effect.

25. General Terms

25.1 Entire agreement. These Terms and the Policies are the entire agreement between you and Leverage about the Services.

25.2 Severability. If any part of these Terms is unenforceable, it will be enforced as far as possible, and the rest remains in effect (subject to Section 21.7).

25.3 No waiver. If we do not enforce a provision, that does not waive it.

25.4 Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, reorganization, or sale of assets. Any successor must honor the commitments about Minors' data in our Privacy Policy.

25.5 Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control.

25.6 Relationship. These Terms do not create a partnership, joint venture, employment, or agency relationship.

25.7 Third-party beneficiaries. No one other than you and Leverage has rights under these Terms, except as Section 12.2 provides.

25.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation."

26. Accessibility

We are committed to making the Services accessible to people with disabilities, and we aim to meet the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you have trouble using any part of the Services, contact privacy@gameleverage.com. We will work with you to provide the information or service another way.
